UAE ESR: historical compliance support
The UAE Economic Substance Regulations (ESR) regime was amended so that no new notification or report is required for financial years ending after 31 December 2022. Prior-year obligations, information requests from authorities and earlier-year penalties remain relevant. TaxSey helps with those historical matters only.

What changed
For FYs ending on or before 31 December 2022
- • ESR notification and (where applicable) ESR report obligations continued to apply.
- • Penalties for non-compliance in those periods remain enforceable.
- • Authorities can still request information and documents for those years.
For FYs ending after 31 December 2022
- • No new ESR notification is required.
- • No new ESR report is required.
- • Existing penalties previously imposed are addressed under the amended regime; a case-by-case review is sometimes possible.
This replaces the earlier "annual ESR filing" positioning. Anyone offering an annual ESR package for current years should be challenged to point to the current legal basis.
What TaxSey covers
Prior-period filing review
Review of your notifications/reports filed for in-scope FYs ending on or before 31 December 2022. Identify gaps, inaccuracies and any corrective action that remains available.
Information-request response
Prepare the evidence pack and written response where a regulatory authority has issued a follow-up question or notice on a historical period.
Penalty review
Review previously imposed ESR penalties, assess grounds for reconsideration or appeal, and coordinate submissions where relevant. Outcome is not guaranteed.
Documentation handoff to CT and UBO
Carry forward relevant substance evidence to your Corporate Tax and UBO files, so documentation effort is not wasted.
What we do not do
- • Sell a recurring annual ESR compliance package for FYs ending after 31 December 2022.
- • Guarantee reversal of previously imposed penalties.
- • Act as substitute for separate UBO declaration services — UBO remains a distinct, continuing obligation. See services hub.
Frequently asked questions
Is ESR filing required for 2026?
No new ESR notification or report is required for financial years ending after 31 December 2022, under the current Ministry of Finance position. Historical obligations for earlier years remain relevant.
Do my prior-year obligations still matter?
Yes. The amendment did not retrospectively cancel obligations that applied to earlier financial years. Information requests, enforcement and penalty processes relating to those years can continue.
Has UBO reporting also been cancelled?
No. The beneficial owner (UBO) regime is a separate, continuing obligation under its own Cabinet Decision. It is not part of ESR and was not cancelled by the ESR amendment.
Can TaxSey review my old ESR filings?
Yes. We offer a scoped historical review of prior-year notifications and reports, including identifying inaccuracies, remediation options and risk. We cannot guarantee a specific regulatory outcome.
Is this fee an annual recurring fee?
No. Historical ESR support is quoted per engagement based on the number of financial years, entities and documents in scope. There is no recurring "ESR annual compliance" charge, in contrast to what some providers may still market.
